Terms of Service

This document is a plain-language template and a starting point. It is not legal advice; have counsel review and adapt it before you rely on it.

1. Agreement

These Terms of Service govern your access to and use of the Prosody platform. By creating a workspace or using the service you agree to these terms on behalf of your organisation. If you do not agree, do not use the service.

2. The service

Prosody parses meeting transcripts you upload, scores them for emotional tone, drafts action items using the Claude API, and — once a member of your team confirms a draft — creates a corresponding issue in your connected Jira or ClickUp workspace. It also produces meeting reports and a company-wide analytics dashboard.

3. Acceptable use

  • Only upload transcripts you have the right to process, and make sure meeting participants have been informed where the law requires it.
  • Do not use the service to violate any law, infringe intellectual property, or process data you are not authorised to handle.
  • Do not attempt to breach tenant isolation, probe the service for vulnerabilities without permission, disrupt its operation, or resell it without a written agreement.
  • Keep your account credentials and integration tokens secure; you are responsible for activity under your workspace.

4. Human-in-the-loop responsibility

Action items, assignees, priorities, estimates and ticket text produced by Prosody are AI-generated suggestions. They are drafts only. A ticket is created in your connected tools solely because a person on your team reviewed the draft and confirmed it, including confirming the assignee against a real account. That person and your organisation are responsible for the content and consequences of any ticket that is confirmed. Prosody is not responsible for misassigned, inaccurate or incomplete tasks that result from a confirmed draft.

5. Third-party integrations

Jira and ClickUp are provided by third parties and governed by their own terms. You authorise Prosody, via OAuth, to create and update issues in the workspace you connect. You are responsible for the scope of access you grant and can revoke it at any time; doing so will disable ticket creation.

6. Data

Your use of the service is also governed by our Privacy Policy. You retain all rights to your transcripts and the data derived from them. You grant Prosody the limited licence needed to process that data to provide the service. We do not sell your data or use transcript content to train models.

7. Warranty disclaimer

The service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Prosody does not warrant that emotion scores or drafted action items are accurate, complete, or suitable for any particular decision.

8. Limitation of liability

To the maximum extent permitted by law, Prosody will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenues or data, arising out of or relating to your use of the service. Our total liability for any claim relating to the service is limited to the amount you paid for it in the twelve months before the claim arose.

9. Term and termination

Either party may terminate for material breach that is not cured within a reasonable period. On termination you may export your data for a limited window, after which it is deleted in line with the Privacy Policy.

10. Governing law

These terms are governed by the laws of [jurisdiction to be specified], without regard to its conflict-of-laws rules, and the courts located there will have exclusive jurisdiction, subject to any mandatory consumer protections that apply to you.

11. Changes to these terms

We may update these terms as the product and legal landscape change. When changes are material we will update the date above and notify customer administrators. Continued use after changes take effect constitutes acceptance.
